1. Agreement
This End User License Agreement ("Agreement") is between you and Kieran Hartley, a sole trader based in the United Kingdom and operator of Token Gauge ("Licensor", "we", "us"), and governs your use of the Token Gauge desktop application and related materials ("Software").
By downloading, installing, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.
2. License grant
Subject to this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business purposes.
2.1 Free tier
Without a paid license key, you may use the Software at no charge with access limited to Claude Code usage monitoring and related free-tier features as described on our website at the time of use.
2.2 Lifetime — All Agents (paid tier)
When you purchase the Lifetime — All Agents license (currently USD $7.99 one-time) through our authorized checkout (Lemon Squeezy), you receive:
- access to all supported agents (Claude Code, Codex, Cursor, Copilot, Gemini, and future agents added to the "All" tier);
- activation on up to three (3) devices per license key, identified by a device fingerprint (one-way hash) sent to Lemon Squeezy at activation;
- lifetime updates to the Software for the "All" tier at no additional charge, for as long as we maintain the product.
"Lifetime" means the life of the product line, not your lifetime. We may discontinue the Software; if we do, we will use reasonable efforts to provide a final build or refund pro-rata at our discretion where required by law.
3. Permitted use
You may:
- install the Software on devices you own or control, within the activation limit for paid keys;
- use the Software to monitor your own AI coding agent usage;
- make a reasonable number of backup copies for archival purposes.
4. Restrictions
You may not:
- share, sell, sublicense, or redistribute license keys or the Software except as expressly allowed;
- reverse engineer, decompile, or disassemble the Software except where applicable law permits despite this limitation;
- remove or alter proprietary notices;
- use the Software to violate any provider's terms of service or applicable law;
- circumvent license validation, activation limits, or feature gating.
5. Third-party services
The Software interacts with third-party AI coding tools and APIs. Your use of those services remains subject to their terms. We are not responsible for changes to provider APIs, rate limits, or availability. See our trademark disclaimer.
6. Updates
We may release updates, bug fixes, or new features. Updates are provided at our discretion. An auto-update mechanism may download new versions from our release channel; you may disable updates only if the Software provides that option.
7. Refund policy
Paid purchases include a 30-day money-back guarantee from the date of purchase. If you are not satisfied, contact us at support@tokengauge.app with your purchase email or order reference. We will process a full refund through Lemon Squeezy (our merchant of record) without requiring a reason. Refunds deactivate the associated license key.
After 30 days, refunds are at our sole discretion except where mandatory consumer laws apply (including UK Consumer Rights Act 2015 where relevant). Chargebacks without contacting us first may result in license revocation.
8. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Software will be uninterrupted, error-free, or that usage figures will match provider dashboards exactly. Providers may change APIs without notice; some agents are supported on a best-effort basis.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $7.99.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
10. Termination
This Agreement is effective until terminated. You may terminate at any time by uninstalling the Software and deleting your license key.
We may terminate or suspend your license if you breach this Agreement, abuse activation limits, or engage in fraud. Upon termination, you must stop using the Software and delete all copies. Sections that by nature should survive (disclaimers, liability limits, governing law) survive termination.
11. Export and compliance
You agree to comply with applicable export control and sanctions laws. You represent that you are not prohibited from receiving the Software under such laws.
12. Governing law
This Agreement is governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England and Wales shall have exclusive jurisdiction, except that consumers in the UK or EEA may bring claims in their country of residence where mandatory consumer protection laws require.
13. Changes
We may update this Agreement. The "Last updated" date will change accordingly. Material changes to paid terms will not apply retroactively to purchases already made. Continued use after changes constitutes acceptance for new use; for paid users, dispute resolution and refund rights for past purchases remain as at purchase date unless law requires otherwise.
